AmCham Participation in the Public Discussion on the Draft Company Law
In the last quarter of 2010, AmCham actively participated in a public discussion on the new Draft Company Law. The Proposed Law, adopted by the Government of Serbia in late December, incorporated some of the AmCham suggestions, including:
Clarification of the provision on the exception to assess the value of non-cash capital which does not represent securities or other financial instruments. The possibility to provide in a founding act other methods for determining the fee for a stake in case of preclusion by a court decision,
Clarification of the provision on the codex of corporate governance, harmonization of certain provisions with the Second Company Law Directive (77/91/EEC) etc.
